1. Agreement & Acceptance

This Partner Agreement ("Agreement") governs your participation in the Fondz Partner Program ("Partner Program") operated by Fondz Digital LTD. ("Fondz", "we", "us"). By registering as a Fondz Partner, obtaining a referral code, sharing your referral link, or otherwise participating in the Partner Program, you acknowledge that you have read, understood, and agreed to this Agreement.

2. Who Can Become a Partner

You must be legally able to enter into a binding agreement to participate in the Partner Program. You agree to provide accurate information when creating your Partner account and to keep your contact and payment details up to date. You are responsible for maintaining the security of your Partner account and referral code.

3. Your Role as a Fondz Partner

Your role is to introduce businesses to the Fondz Marketplace through your unique referral code or referral link. You are not required to purchase inventory, deliver products, process customer orders, provide customer support, or operate the businesses you refer. Fondz is responsible for providing the marketplace, payment infrastructure, merchant tools, and related platform services.

4. Referral Attribution

A business becomes your referred business when it signs up for Fondz through your assigned referral link or otherwise completes registration using your valid referral code in a manner that allows Fondz to attribute the business to your Partner account. Once a business has been successfully attributed to you, that referral remains associated with your Partner account for the duration of the business's participation on Fondz, subject to this Agreement.

5. Commission Rate

For every successful sale made by a business validly referred to Fondz through your Partner account, you earn a commission equal to 50% of the platform commission Fondz actually collects from that business, subject to the transaction being successfully completed and recorded by the Fondz platform. At Fondz's standard rates — a 5% platform commission on Free-Tier merchants' orders, capped at ₦10,000 per order — this works out to 2.5% of the successful sale value: Successful Sale × 5% × 50% = Partner Commission. Where a referred business is subscribed to Fondz Premium, see Section 6 for how your commission applies to its subscription fee instead.

6. Lifetime Earning on Referred Businesses

Your earning relationship with a referred business does not expire simply because time has passed or because you have stopped actively promoting Fondz. Once a business has been validly referred and attributed to you, you continue to earn a commission on its activity for as long as that business remains in business and continues to generate eligible revenue for Fondz.

If a referred business is on Fondz's Free Tier, your commission is calculated on its successful sales as described in Section 5. If a referred business subscribes to Fondz Premium, Fondz collects no per-order platform commission from that business — instead, you earn 25% of that business's Premium subscription price (Fondz Premium is currently ₦50,000 per month; Paystack's processing fee, charged on top of this to the merchant, is not included in this calculation), for as long as the subscription remains active. Either way, the underlying principle is the same: you earn a share of Fondz's actual subscription or commission revenue from a business you referred.

In other words, your referral is not a one-time commission, and it does not stop simply because a referred business upgrades to Premium. If the business continues generating revenue for Fondz — through order commissions, subscription fees, or both — your commission continues, subject to this Agreement and the business remaining eligible to generate commissions.

7. When Commissions Are Credited

Commissions are credited to your Partner account after each successful sale is recorded by Fondz. The Partner Dashboard provides tools for tracking referred businesses, successful sales, commissions, and withdrawal activity. Commission balances become available for withdrawal in accordance with the applicable withdrawal and settlement process on the Partner Dashboard.

8. Example of the Commission Formula

For illustration:

Free-Tier referred businesses. If you refer 25 Free-Tier businesses and each makes ₦50,000 in successful sales per day, your commission is calculated as:

₦50,000 × 2.5% = ₦1,250 per business per day.

25 businesses × ₦1,250 = ₦31,250 per day — approximately ₦937,500 over a 30-day month, assuming that sales level holds every day.

Premium referred businesses. If a referred business instead subscribes to Fondz Premium (₦50,000/month), your commission on that business is:

₦50,000 × 25% = ₦12,500 for that billing cycle, regardless of how much the business sells that month.

Actual earnings depend entirely on the number of referred businesses, their plan, their actual successful sales or subscription payments, and their continued participation on Fondz.

9. No Inventory, Delivery or Customer Support Required

Partners are not required to hold inventory, purchase products, deliver goods, collect payments from customers, or provide customer support for referred businesses. Your responsibility under the Partner Program is to make genuine business introductions and promote Fondz in accordance with this Agreement.

10. Prohibited Referral Practices

You may not use false or misleading advertising, impersonate Fondz or another person, create fraudulent accounts, manipulate transactions, use automated or deceptive methods to generate referrals, make false promises about commissions or Fondz services, or engage in spam or any unlawful marketing activity. You must not represent yourself as an employee, agent, legal representative, or owner of Fondz unless Fondz has expressly authorized you to do so.

11. Genuine Transactions Only

Commissions are intended to reward genuine business activity. Fondz may investigate transactions or referrals that appear fraudulent, artificial, reversed, disputed, manipulated, or otherwise invalid. Fondz may withhold, reverse, or cancel commissions associated with transactions or referrals that are determined to be fraudulent, invalid, or generated in breach of this Agreement.

12. Withdrawals & Partner Payments

Partners may request withdrawals of available commission balances through the Partner Dashboard, subject to the withdrawal process, minimums, verification requirements, and settlement procedures applicable on the Platform. You are responsible for providing accurate bank account and payment information. Fondz is not responsible for a payment sent to an incorrect account where the incorrect information was supplied by the Partner.

13. Taxes & Personal Financial Obligations

You are responsible for understanding and meeting any tax, reporting, or other financial obligations that may apply to commissions you receive from the Partner Program. Fondz may provide transaction or payment records where applicable, but does not provide personal tax advice.

14. Suspension & Termination

You may stop participating in the Partner Program at any time. Fondz may suspend or terminate a Partner account where there is a breach of this Agreement, fraud, abuse, unlawful conduct, manipulation of referrals or transactions, or other conduct that may harm Fondz, its merchants, customers, or the integrity of the Partner Program.

If a referred business remains in business and continues to generate eligible successful sales on Fondz, its attributed commission relationship is intended to continue even if you are no longer actively promoting Fondz, provided your Partner account and the referral remain eligible under this Agreement. A referral does not, however, create an entitlement to commissions from transactions that are fraudulent, invalid, reversed, or otherwise excluded under this Agreement.

15. No Guarantee of Earnings

Fondz does not guarantee any minimum number of referrals, sales, commission amount, or income. Your earnings depend on the businesses you refer, the volume and value of their successful sales, and how long those businesses continue operating and using Fondz. Any examples provided by Fondz are illustrations only and are not promises of future earnings.

16. Relationship Between Partner and Fondz

Participation in the Partner Program does not make you an employee, shareholder, franchisee, or general agent of Fondz. You participate as an independent Partner and may not bind Fondz to any contract, commitment, representation, or obligation unless expressly authorized in writing.

17. Intellectual Property & Brand Use

The Fondz name, logo, trademarks, website, software, and other intellectual property remain the property of Fondz Digital LTD. or their respective owners. Fondz may provide approved marketing materials for Partner use. You may use such materials only for legitimate promotion of the Fondz Partner Program and may not alter them in a way that misrepresents Fondz or its services.

18. Changes to the Partner Program

Fondz may update the Partner Program, its systems, procedures, or these terms from time to time to reflect operational, commercial, technical, or legal requirements. Where a change materially affects Partners, Fondz will make reasonable efforts to communicate the change through the Partner Dashboard, email, or another appropriate channel. Continued participation after the effective date of an updated Agreement constitutes acceptance of the revised terms.

19. Governing Law

This Agreement is governed by the laws of the Federal Republic of Nigeria. Any dispute arising from or relating to the Partner Program or this Agreement shall be handled in accordance with applicable Nigerian law.
